Battle of the forms – The “Last Shot Rule”
Clients be aware of the “Last Shot Rule” on the battles of forms.
If you offer to provide goods/services to your client on your terms, but your client accepts your offer on their terms, usually in fine print on its purchase order. This will be deemed a counter offer, and if performed by you, will be purported as acceptance of your client’s terms. The last set of terms dispatched before acceptance or performance (the “last shot” fired in the battle of the forms) will usually prevail.
To avoid this happening, upon receipt of your client’s purchase orders, send your client an acknowledgment of the order with your standard terms, this could prevent costly disputes arising.
